Annual General Meeting 2020

Vaisala Corporation's Annual General Meeting will be held on Wednesday June 3, 2020 at 4:00 p.m. at Vaisala Corporation's head office, Vanha Nurmij?rventie 21, 01670 Vantaa, Finland. Shareholders of Vaisala and their proxy representatives may participate in the meeting and exercise their rights as shareholders only through voting in advance as well as by making counterproposals and presenting questions in advance.

Board of Directors of Vaisala has resolved on the exceptional procedure for the meeting based on the temporary legislative act to limit the spread of the Covid-19 pandemic approved by the Finnish Parliament on April 24, 2020. The Company has resolved to take actions enabled by the act in order to hold the meeting in a predictable manner, taking into account the health and safety of the Company‘s shareholders, personnel and other stakeholders.?

Right of attendance
Each shareholder, who is registered on May 22, 2020 in the Register of Shareholders maintained by Euroclear Finland Ltd, has the right to participate in the Annual General Meeting.
Shareholders may only participate by voting in advance as set forth below and by the shareholders’ right to send counterproposals or questions in advance to the Company. By this way Vaisala aims at conducting a meeting as safely as possible during the Covid-19 pandemic with regards to its shareholders, employees and other stakeholders. Please note that earlier registration for the April 7, 2020 meeting does not constitute registration for the June 3, 2020 AGM.

Notice of participation and voting in advance
The registration period and advance voting period shall commence on May 11, 2020, when the deadline for delivering counterproposals to be put to a vote has expired. When registering, requested information such as the name, personal identification number, address and telephone number of the shareholder must be notified. If another representative than the proxy representative nominated by the Company is used, the requested information such as the name and personal identification number must be notified also regarding such proxy representative. The personal data given to Euroclear Finland Oy or the proxy representative nominated by the Company will be used only in connection with the Annual General Meeting and with the processing of related registrations.?

Shareholders with a Finnish book-entry account can register and vote in advance on certain matters on the agenda during the period May 11, 2020 – May 27, 2020 in the following manners:?

2. By regular mail or e-mail?
A shareholder may deliver an advance voting form available on the Company’s website to Euroclear Finland Oy by regular mail to Euroclear Finland Oy, Yhti?kokous, PL 1110, FI-00101 Helsinki, Finland or by e-mail to [email protected].?

The advance voting form will be available in the document library below no later than on 11 May 2020.
If the shareholder participates in the meeting by sending the votes in advance by mail or email to Euroclear Finland Oy, this constitutes due registration for the Annual General Meeting.?

3. By delivering voting instructions to the independent proxy representative
A shareholder may use the Company’s proxy authorization service and authorize the independent proxy representative nominated by the Company, Ari Syrj?l?inen, Counsel, or a person designated by him to vote in advance on your behalf for the meeting.

A template for the proxy document and voting instructions will be available in the document library below by no later than 11 May 2020 once the deadline for delivering counterproposals to be put to a vote has expired. Proxy representatives and powers of attorney
A shareholder may participate in the Annual General Meeting and exercise his/her rights at the Meeting by proxy. The proxy representative of a shareholder is also required to vote in advance in the manner instructed in the meeting notice. Shareholders not voting in advance are requested to use proxy service arranged by the Company and authorize the independent proxy representative nominated by the Company, Mr. Ari Syrj?l?inen, Counsel of Borenius Attorneys Ltd., or a person designated by him to represent the shareholder and exercise on his/her behalf the right to vote through the advance voting procedure in accordance with the voting instructions given by the shareholder. ?

Holders of nominee-registered shares
A holder of nominee-registered shares has the right to participate in the Annual General Meeting by virtue of such shares, based on which he/she on the record date of the Annual General Meeting May 22, 2020, would be entitled to be registered in the shareholders’ register of the Company held by Euroclear Finland Oy. The right to participate in the Annual General Meeting requires, in addition, that the shareholder on the basis of such shares has been temporarily registered into the shareholders’ register held by Euroclear Finland Oy no later than on May 29, 2020 by 10 a.m. Finnish time. As regards nominee-registered shares this constitutes due registration for the Annual General Meeting.?

A holder of nominee-registered shares is advised to request without delay necessary instructions?regarding the temporary registration in the shareholders’ register of the Company, the issuing of proxy?documents and registration for the Annual General Meeting from his/her custodian bank. The account management organization of the custodian bank will temporarily register a holder of nominee-registered shares, who wants to participate in the Annual General Meeting, into the shareholders’ register of the company at the latest by the time stated above. In addition, the account management organization of the custodian bank must see to the voting in advance on behalf of a nominee-registered shareholder within the registration period applicable to nominee-registered shares.

Counterproposals and questions
Shareholders holding at least one hundredth of all of the shares in the Company have the right to make?a counterproposal to the proposals for resolutions on the agenda of the Annual General Meeting, which will be put to a vote. Such counterproposals must be delivered to the Company by e-mail to [email protected] by no later than May 8, 2020 at 4 p.m. Finnish time. Shareholders making a counterproposal must in connection with delivering the counterproposal present evidence of his/her shareholdings. The counterproposal will be considered at the Annual General Meeting, provided that the shareholder has the right to participate in the Annual General Meeting and that the shareholder holds shares corresponding to at least one hundredth of all of the shares in the Company on the record date of the Annual General Meeting. If the counterproposal will not be taken up for consideration at the Annual General Meeting, the votes given in favor of the counterproposal will not be taken into account. The Company will publish possible counterproposals to be put to a vote on this website by no later than May 11, 2020.?

A shareholder may present questions pursuant to Chapter 5, Section 25 of the Finnish Companies Act?until May 19, 2020 by e-mail to [email protected]. Such questions by shareholders, responses to such questions by the Company‘s management as well as other counterproposals than those put up to a vote on are available on the on this website by no later than May 25, 2020. As a prerequisite for presenting questions or counterproposals, a shareholder must present sufficient evidence to the Company of his/her shareholdings.?

Privacy Policy

General Meeting

The General Meeting is the supreme decision-making body of Vaisala, in which all the shareholders of the company can participate in the supervision and control of the company and exercise their right to vote, speak, and ask questions. The Annual General Meeting is held once a year before the end of June on a date determined by the Board of Directors. It decides on the matters stipulated in the Finnish Limited Liability Companies Act and the Articles of Association. The decisions are mainly made with simple majority of votes.

The Chairman of the Board of Directors, members of the Board of Directors, and the President and CEO are present at the Annual General Meeting. The auditor is present at the Annual General Meeting. Board member candidates are present at the Annual General Meeting where they are elected. If the above-mentioned person or persons fail to attend the Annual General Meeting, Vaisala notifies the General Meeting of such non-attendance. The members of the Management Group participate in the Annual General Meeting, if possible. Participation in the General Meeting requires that the shareholder is registered in Vaisala’s shareholder register, maintained by Euroclear Finland Ltd, on the record date of the meeting, and that he/she registers for the meeting by the date mentioned in the meeting notice.

Shareholders are entitled to have an issue placed on the agenda of the Annual General Meeting, provided that the issue can be decided upon by the Annual General Meeting according to the Limited Liability Companies Act. The request must be submitted in writing to the Board of Directors early enough that the issue can be included in the meeting notice. The company announces the date by which the shareholder must notify the Board of Directors of an issue to be added to the agenda of the Annual General Meeting on its website. The date is available by the end of the previous financial year.

Vaisala publishes a notice of the Annual General Meeting no more than two months before the record date and no less than three weeks before the meeting on the company’s website or in any other way that may be decided by the Board of Directors, or Vaisala may deliver it directly to shareholders when required by law. In addition, Vaisala publishes a meeting notice as a stock exchange release after the Board of Directors has decided on the convening of the Annual General Meeting.

Agenda of the Annual General Meeting, proposals on decisions, and meeting documents are available on the company’s website at least three weeks prior to the meeting. Documents of the Annual General Meeting will be held on the company’s website for at least five years from the time of the meeting. Minutes of a meeting will be published on the company’s website within two weeks of the meeting.

The purpose of the register is to enable shareholders of the Vaisala Corporation to register for Annual General Meetings and Extraordinary General Meetings on the Internet. A technical provider of the service is Euroclear Finland Oy.

The enabling of the registrations for the General Meetings on the Internet requires the collection of personal data of Vaisala Corporation’s shareholders. The collection of personal data is needed in order to identify shareholders and the ownership of shares for confirming the right to participate in the General Meetings.

The personal data collected shall be used only for preparing a list of participants, a list of votes, ballots and for organizing the potential polling. There shall also be a list of participants attached to the minutes of General Meeting including the names of the shareholders which participated in General Meeting, names of their proxies and number of shares and votes. The usage of the register shall not continue after each General Meeting.

The processing of personal data is outsourced to Euroclear Finland Oy in compliance with Section 8, Subsection 1.7 of Personal Data Act. If the shareholder registers in advance on the Internet, Euroclear Finland Oy shall operate as the technical provider of the collection of personal data. The connection from the user’s browser to the server of Euroclear Finland Oy is encrypted with SSL?technology.
